BecoolH2O ships your items as quickly as possible, typically within 1 to 3 business days for processing. Please note that orders are not shipped or delivered on weekends or holidays. During periods of high order volume, shipments may be delayed by a few days, with additional time needed for delivery. Disputes will be managed under American law.
General Terms and Conditions of Sale of BecoolH2O.com
Article 1: Prevention
The BecoolH2O Online Store is exclusively reserved for persons aged 18 or over.
Article 2: The Online Store
The BecoolH2O Online Store is accessible at the internet address www.becoolh2o.com.
The commercial offer of BecoolH2O covers all the products presented in the catalog of the Online Store.
The Online Store mentions the essential characteristics of each product, its price, the amount of the delivery costs and the delivery terms.
Modification
Orders placed with our company are irrevocable, unless accepted in writing by us. Every order must clearly specify the product, quantities, and delivery dates.
BecoolH2O reserves the right to refuse or reduce any order with an unusually high volume compared to previous orders from the same customer for the same month of the previous year, taking into account seasonality, sales trends, and market conditions.
Special Orders:
Special orders refer to promotional orders, product launches, or seasonal orders.
Any special order is subject to the following provisions: Supply for the sale of our products shall not exceed 2 months of sales (based on 12 active or forecasted months), unless written prior agreement has been made with our company.
Order Variation
In case of an increase in the order quantity exceeding 5% of the initial order, BecoolH2O will make every effort to meet the customer’s demand. However, the customer assumes the risk of potential stock shortages, with no entitlement to penalties or compensation from our company.
Deliveries
a) Our products are delivered exclusively in the packaging chosen by BecoolH2O, which is an integral part of the product. The ordered quantities must be a multiple of the case sizes.
b) Deliveries are made free of charge for shipping and packaging within mainland France for a minimum order of one pallet of the same product. For any order below this threshold, the shipping costs will be borne by the customer.
c) Delivery is completed once the products have been accepted by the customer or delivered to an agent, carrier, or any other party designated by the buyer.
d) In case of product unavailability, BecoolH2O reserves the right to deliver the order partially. Unless there is an explicit agreement otherwise, any remaining products will not be managed by our company and will require a new order from the customer. No penalty will be due in case of partial delivery.
Delivery Time
Delivery times are at least 7 business days from receipt of the order. This period may extend to 10 business days for special orders. Orders must be placed before 11 AM, with delivery on the following business day, noting that Saturdays are not considered business days.
The delivery times indicated are indicative and without guarantee or responsibility on our part. No failure or delay shall result in order cancellations, penalties, or damages. We strive to meet the agreed delivery times, except in cases of force majeure (strikes, freezing conditions, fire, storm, flooding, pandemics, etc.).
Transport
Risk transfer of the goods occurs when the customer receives the goods at the dock. Unloading will be done by the recipient and under their responsibility. Any excessive delay caused by the customer in relation to the scheduled unloading time may result in penalty charges. If pallets are not returned, BecoolH2O will charge the cost of the pallets.
Receipt
It is the customer’s responsibility to verify the quality and quantity of goods compared to the order and to record any discrepancies on the delivery slip or transport receipt within 24 hours.
Only visible defects or missing items will result in our company taking responsibility for the return of goods. Only the carrier chosen by BecoolH2O is authorized to return the products, and only upon our company’s instructions.
Tariffs
In accordance with Article 441-7-3 of the French Commercial Code, this general tariff, as well as the price agreed upon between the parties, will apply no later than March 1st of the current year.
Our tariff applies to all our customers from the same date. Any changes in pricing will automatically apply on the date specified in the new tariff. Our pricing includes the eco-packaging contribution, which is a tax; any variation in this contribution will be automatically applied without dispute.
Prices
The prices charged are those of the tariff in effect on the date of delivery, even for orders placed before the tariff’s effective date. Prices are inclusive of all taxes, excluding VAT, and include the revised eco-packaging contribution and any discounts based on the applicable tariff, as reflected in the invoice.
Resale Conditions
The customer is solely responsible for the consumer sale prices they set. They also commit to passing on any promotions granted by our company to consumers in full.
Payment
Our invoices, issued in Euros, are payable in Dollars within 30 days from the end of the decade of the delivery date, at the location and date specified by the seller on the invoice.
Payment can be made by bill of exchange, cheque, bank transfer, or commercial transfer (VCOM). Cheques must reach BecoolH2O at least three days before the invoice due date. Bank transfers must be received in BecoolH2O’s account on the due date. Bills of exchange must be returned accepted within 15 days of the invoice date.
Failure to pay by the due date, regardless of the payment method, will result in the invoicing of late payment fees calculated at the legal interest rate, increased by 50% — all other rights reserved — the immediate and automatic due date of any unpaid invoices, the possible suspension of deliveries until payment is made, and the requirement for advance or cash payment for future deliveries.
No discount will be granted for early payment.
FIRST ORDER: Any first order will be processed with payment in full upfront.
Non-Payment
Any sum not paid by the due date will incur late payment penalties calculated at three times the legal interest rate, as per Article L. 441-6 (modified by the LME Law of 04/08/2008) of the French Commercial Code. These penalties are due immediately, the day after the invoice payment date. Our company reserves the right to take legal action to stop this non-payment, with a daily penalty for each day of delay imposed by the competent court.
Penalties (Automatic Deduction)
Any automatic deduction will hold the responsible party accountable and oblige them to repair the damage caused. Refusing or returning goods or reducing the invoice amount due to penalties, commercial cooperation issues, or discounts related to non-compliance with a delivery date or goods not conforming, when the debt is not certain, liquid, and due, will not be accepted.
Fixed Collection Fees
As per Article L. 441-6, para. 12 of the USA Commercial Code, effective from January 1, 2013, a fixed collection fee of $80 is due automatically and without prior notice in the event of late payment.
Therefore, any late payment of our invoices will automatically incur a $80 collection fee per invoice, in accordance with the law on simplifying legal procedures and reducing administrative burdens.
We reserve the right to request additional compensation if the actual collection costs exceed this amount, upon presentation of supporting documents. This clause supplements the current applicable terms.
The transfer of the custody of goods results in the transfer of the storage obligations outlined below:
- The goods will be stored in clean, closed, temperature-controlled, ventilated warehouses, away from light, dust, water damage, inclement weather, and freezing temperatures.
- They should not be stored near other strongly scented products such as detergents, tires, fuels, etc.
- The organization of storage will follow the first-in, first-out principle for product handling.
Packaging:
Packaging rented from a service provider remains the property of the provider. The customer is solely responsible for returning the rented packaging to the provider. If applicable, the customer will be liable for penalties imposed by the provider.
Promotions and Promotional Materials:
- Promotions will be subject to stock availability, contingent on a firm order of the requested quantities, confirmed by our company at least 8 weeks prior to the requested delivery date.
- Presentation materials, informational materials, or advertising supports provided free of charge to customers are the property of our company. They may only be used for the display of products delivered by BecoolH2O. Our company reserves the right to retrieve them. The customer may not destroy these materials without prior authorization from our company.
Retention of Title:
The goods sold remain our property until full payment of the price is made. The submission of bills of exchange or other instruments creating a payment obligation does not constitute payment. The customer is authorized, as part of their normal business operations, unless in a state of insolvency, to resell the delivered goods, provided they settle the corresponding sums with the seller; however, they cannot pledge the goods or transfer ownership as security. In the event of seizure or any third-party intervention, the customer is required to immediately inform us.
Intellectual Property:
Any representation or reproduction, in full or in part, of our brands, products, and other promotional materials is prohibited without the written consent of our company.
